Investment Opportunities in the Gaming Industry in Vietnam for Foreign Investors through M&A Transactions

Vietnam’s gaming industry has been experiencing robust growth and has emerged as a bright spot in the national economy. The international success of numerous games developed by Vietnamese game companies has attracted significant interest from foreign investors seeking to invest in this sector. One of the most common investment methods adopted by foreign investors is through mergers and acquisitions (M&A). However, as the gaming industry is classified as a conditional business sector under Vietnamese law, M&A transactions in this field require careful legal due diligence to enable investors to seize opportunities while effectively managing potential risks.

1. Overview of Vietnam’s Gaming Industry

According to Bloomberg, Vietnam ranked fifth in the region in terms of revenue and was among the world’s top five mobile game-producing countries in 2023, with 4.2 billion global downloads, 2.5 times higher than the global average. In addition, a DataReportal report published in early 2024 indicates that Vietnam had approximately 78.44 million internet users, accounting for over 78% of the population, reflecting the widespread adoption of digital activities, particularly gaming. These figures demonstrate that Vietnam is not only a major consumer market but also a highly attractive destination for the development of the gaming industry.

This rapid growth has drawn considerable attention from foreign investors wishing to enter Vietnam’s gaming sector. In this context, M&A transactions are regarded as a strategic tool for market entry, enabling investors to leverage abundant resources and the industry’s significant growth potential.

2. Key Legal Considerations for M&A Transactions in Vietnam’s Gaming Industry

To successfully enter Vietnam’s gaming market and mitigate potential legal risks, foreign investors should take into account the following legal matters when conducting M&A transactions:

  • Market Access Conditions for Foreign Investors: Under international trade and investment agreements to which Vietnam is a party, including the WTO and the CPTPP, foreign investors are permitted to invest in the gaming industry in the form of joint ventures with Vietnamese enterprises that have been duly licensed to provide gaming services. In such joint ventures, foreign ownership is capped at 49% of the charter capital (or 51% under the CPTPP).
  • Compliance with Gaming Business Conditions of the Target Company: Under current Vietnamese law, depending on the type of online games developed and operated by the target company (classified into four categories G1, G2, G3, and G4, each with distinct characteristics), the company must obtain the relevant licenses or approvals from competent state authorities. These include: licenses for the provision of G1 online gaming services; decisions approving the publication of G1 online games; certificates of eligibility for the provision of G2, G3, and G4 online gaming services; confirmations of notification for the publication of G2, G3, and G4 online games. Determining whether the target company has fully satisfied the legal conditions for lawful gaming operations in Vietnam is a critical factor in ensuring that the foreign investor’s post-M&A business plan can be implemented smoothly.
  • Intellectual Property Rights: In the gaming industry, intellectual property rights constitutes a core asset and therefore requires thorough examination during the M&A process. Foreign investors must verify the target company’s lawful ownership of source codes, graphics, audio, trademarks, and other elements associated with gaming products in order to mitigate potential risks related to intellectual property disputes.
  • Personal Data Protection: The operation of online games typically involves the collection and processing of large volumes of user data, making compliance with personal data protection regulations mandatory. Foreign investors should assess whether the target company has complied with applicable legal requirements. If non-compliance is identified, a specific remediation roadmap should be established immediately following the completion of the M&A transaction.

M&A transactions represent an effective investment vehicle for foreign investors seeking to rapidly enter Vietnam’s gaming industry and capitalize on its creative talent pool and extensive consumer market. Nevertheless, to ensure a successful outcome, such transactions must be conducted in full compliance with applicable laws and regulations. A sustainable M&A strategy requires a close integration of business analysis and comprehensive legal due diligence.
